Job Description:
The Legal Counsel will own commercial, corporate and regulatory legal work to enable safe revenue growth, protect IP and reduce legal risk across product, partnerships and client engagements. You’ll draft and negotiate commercial contracts, manage corporate governance, advise on data/privacy matters and support fundraising, vendor relationships and employment issues — partnering closely with Sales, Product, Security and Finance.
Responsibilities:

Draft, review and negotiate customer contracts (SaaS agreements, MSAs, SOWs), vendor agreements, NDAs, reseller/partnership agreements, and professional services contracts.

Draft and negotiate commercial terms, pricing schedules, service levels, indemnities, limitations of liability and IP ownership clauses tailored for AI/SaaS offerings.

Manage corporate governance: maintain statutory records, support board and shareholder processes, minute-taking and entity-level compliance.

Advise on data protection and privacy (DPAs, cross-border data transfers, privacy notices) and coordinate with Security & Compliance to meet client requirements.

Support fundraising and investor relations: prepare term sheets, subscription agreements, cap table updates, and due diligence packs.

Provide employment law advice, draft employment contracts, contractor agreements, and support dispute avoidance/resolution together with HR.

Review marketing claims, product terms, and licensing to mitigate regulatory and IP risk (open-source compliance, third-party licenses).

Manage external counsel relationships and control legal spend; coordinate litigation/claims handling where needed.

Create and maintain standard contract templates, playbooks, approval matrices and self-serve legal resources to speed deal cycle.

Run legal risk assessments for new products/features (including ML/data risk), flag regulatory exposures and recommend mitigation.

Support commercial negotiations for enterprise deals and participate in deal calls as required (pricing, payment terms, export controls).

Keep leadership informed of regulatory changes relevant to SaaS/AI (export controls, data protection, consumer/industry rules) and propose policy updates.

Train internal stakeholders (Sales, PS, Product) on contractual risks, NDAs, and escalation points to reduce signing cycle time.
Preferred Qualifications:

4+ years practicing commercial / corporate law (in-house or law firm) with experience supporting SaaS, technology or data-driven companies; more senior experience preferred for Senior Counsel roles.

Strong experience drafting and negotiating SaaS/MSA/SOWs, DPAs, licensing, partnership and vendor agreements.

Familiarity with data protection/privacy regimes (GDPR and regional frameworks) and practical experience preparing DPAs and advising on cross-border transfers.

Experience supporting fundraising, investor diligence and managing external counsel.

Good understanding of IP law, open-source licensing issues, and strategies to protect company IP.

Practical knowledge of employment law and experience drafting employment/contractor agreements and advising on HR-related legal issues.

Excellent contract drafting, commercial judgment and risk-prioritisation skills — able to present legal options in business terms.

Comfortable working with technical teams; able to understand product architecture, ML/data flows and translate technical constraints into legal terms.

Bar admission / law degree from a recognized university; advanced qualifications (LLM) or in-house counsel experience a plus.

Prior in-house startup or scale-up experience strongly preferred; experience with international clients and cross-border contracting is a major advantage.

Strong negotiation, written & oral communication skills in English; Urdu/local languages helpful for local matters.
